KOA’E COMMUNITY ASSOCIATION BYLAWS 1/18/03
ARTICLE I - NAME, PURPOSE
Section 1: The name of the organization shall be Koa’e Community Association.
Section 2: The Koa’e Community Association is a volunteer corporation organized to facilitate discussion of and action on Koa’e community issues. Koa’e Community is defined as the geographical area comprised of properties whose access is Papaya Farms Road, Cinder Road, Old Government (Beach) Road within 0.5 miles of Papaya Farms Road, Railroad Avenue from Cinder Road to .5 mile beyond the junction with Noni Farms Road, or Noni Farms Road within 1.5 miles of Railroad Avenue.
ARTICLE II - MEMBERSHIP
Section 1: One vote shall be conferred to the property owner, (as represented by her/ himself, a family member, or resident) for each property within Koa’e Community.
ARTICLE III - MEMBERSHIP MEETING
Section 1: Annual Meeting. The date, time and place of the annual meeting shall be set by the Board of Directors.
Section 2: Special Meetings. Special meetings may be called by the Chair or the majority of the Board of Directors. The goal shall be to have at least one additional membership meeting each year.
Section 3 Petition Meetings. If, within two weeks of a Board decision (other than the granting of an easement), at least ten members petition the Board to review the decision, the Board shall call a special meeting with 60 days on that subject.
Section 3: Notice. Notice of each meeting shall be posted on the Koa’e Community bulletin board not less than 30 days before the meeting.
ARTICLE IV - BOARD OF DIRECTORS
Section 1: Board Role and Size. The Board is responsible for overall policy and direction of the Association. The Board shall have as many as eight* and not fewer than three members. Only those board members residing on Papaya Farms Road shall be able to vote on matters pertaining to road ownership.
Section 2: Meetings. The Board shall meet monthly or as necessary to conduct business, at an agreed upon time and place. Members may attend in-person or by telephone.
Section 3: Board Elections. Election of directors will occur at the annual meeting of the association. Directors will be nominated from the membership and elected by a majority vote of the members.
Section 4: Terms. All Board members shall serve two-year terms, except that half of the members elected at the inception meeting shall serve one year terms. Board members are eligible for re-election.
Section 5: Quorum. A simple majority of the Board members must be present before business can be transacted.
Section 6: Notice. An official Board meeting requires that each Board member have notice from the Secretary in advance by phone, in person or in writing. The general membership may attend board meetings, and the time and place of the meetings will be posted on the bulletin board.
Section 7. Officers and Duties. There shall be three or four officers of the Board consisting of a Chair, Vice Chair, Secretary/Treasurer, or Secretary and Treasurer. Their duties are as follows:
The Chair shall convene regularly scheduled Board meetings, shall preside or arrange for other members of the executive committee to preside at each meeting in the following order: Vice-Chair, Secretary and Treasurer.
The Vice-Chair will chair committees on special subjects as designated by the board.
The Secretary shall be responsible for keeping records of Board actions, including overseeing the taking of minutes at all board meetings, posting minutes on the bulletin board, announcing meetings, distributing copies of minutes and the agenda to each Board member, ensuring that corporate records are maintained and any required reports are submitted to the state.
The Treasurer shall handle financial affairs of the association, and make financial information available to association members.
Section 8: Vacancies. When a vacancy exists, the Board, by a majority vote, may appoint a member to serve until the next election.
Section 9: Termination. A Board member may be removed by a three-fourths vote of the remaining directors with reasons given in writing.
Section 10: Committees. The Board may create committees and appoint committee chairs as needed.
ARTICLE V - AMENDMENTS
Section 1: These Bylaws may be amended after a 2/3 vote of the Board, followed by a 3/4 vote of the general membership
These Bylaws were approved at a meeting of the Koa’e Community Association on January 18, 2003.
